General Terms and Conditions Pasi & Partners AG

1. Applicability and scope

These General Terms and Conditions (hereinafter referred to as Pasi & Partners AG apply to all business relationships

between Pasi & Partner AG (hereinafter referred to as "Pasi", "us" or "we") and the customers (hereinafter

referred to as "customer" or "you") for services (in the broadest sense, hereinafter referred to as "service/s")

provided by us.

Any deviating agreements made with the customer shall take precedence over these GTC. Conflicting terms

and conditions of the customer shall not be recognized. The following provisions on services shall also apply

mutatis mutandis to the sale of goods.

Pasi reserves the right to amend these GTC at any time. All changes shall become effective upon

publication of the new GTC on the website. The date of the binding agreement for the purchase of the

service is decisive for the applicability of the valid GTC.

The General Terms and Conditions valid at the time the contract was concluded shall apply to all contracts.

2. Offer and prices

Our offer and our prices are set out in the contract or offer. All prices are quoted in CHF (Swiss francs) and

are subject to VAT. Offers apply to the entire service requested by the customer and cannot be split up.

Offers and contracts only become legally binding for Pasi once they have been signed by one of our

managing directors or supervisory board members.

Pasi& Partners offers are valid for 30 days. Thereafter, Pasi is entitled to adjust the offers and prices. In this case, the

offers lose their validity as non-binding and are no longer considered a binding offer.

3. Payment options and destinations

The customer authorizes Pasi to collect payments directly or via third parties. In the event of chargebacks,

Pasi shall be entitled to reimbursement of the associated costs and bank processing fees.

Payments are due upon provision of the service.

4. Conclusion of contract

The contract for the purchase of services is concluded with our contract confirmation or the acceptance of

our offer or the use of the offered service by the customer.

5. Liability

Pasi excludes any liability, regardless of its legal basis, as well as any claims for damages against Pasi and

its auxiliary persons and vicarious agents. In particular, Pasi is not liable for indirect damages and

consequential damages, loss of profit or other personal injury, property damage and pure financial loss of

the customer. Any further mandatory statutory liability, such as for gross negligence or unlawful intent, shall

remain unaffected.

Should an event occur that is beyond our influence and control (so-called force majeure), we assume no

liability or responsibility for the non-fulfillment or delayed fulfillment of any obligations arising from these

GTC and the contractual relationship based on them.

An event beyond our control is, for example, strikes, fire, explosions, war, storms, floods, earthquakes,

epidemics or pandemics. Should such an event occur that affects the fulfillment of our obligations under the

contract, we will inform you as soon as possible.

6. Data protection

Pasi collects and processes personal data exclusively within the framework of the statutory provisions, in

particular in compliance with the applicable data protection laws. Further information on the processing of

your personal data, your rights and related questions can be found in our privacy policy at [link]. This is an

integral part of these GTC.

7. Copyright

The information, content, concepts, plans, analyses or any other ideas contributed by Pasi and published or

contained on the website or in offers are protected by copyright and are the property of Pasi or the

respective rights holder. The prior written consent of the respective rights holder is required for the

reproduction, processing, distribution or any other form of utilization. Pasi and the respective rights holder

reserve all rights in this regard.

8. Severability clause

Should one of the provisions of these GTC be or become illegal, invalid or unenforceable for any reason,

this shall not affect the validity of the remaining provisions. Unless otherwise agreed, the invalid provision

shall be deemed to be replaced by a valid provision that reflects the economic purpose of the provision and

the intention of the parties at the time the contract was concluded as far as possible. The same applies to

any loopholes in these GTC.

9. Applicable law and place of jurisdiction

These General Terms and Conditions and the resulting contractual relationships shall be governed

exclusively by substantive Swiss law. This also applies to any disputes. The conflict of laws rules and the

United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply in this

case.

The court of jurisdiction is Zurich.
